These Terms of Use (“Terms”) govern access to and use of the RunAdic platform, including the RunAdic mobile application, website, and related services (collectively, the “Services”) operated by RunAdic LLC (“RunAdic,” “we,” “our,” or “us”). By creating an account or using the Services, you agree to be bound by these Terms.
1.1 Agreement to Terms
By accessing or using the Services, you agree to comply with these Terms and all applicable laws and regulations.
Relationship of Additional Terms and Policies
Certain features or services available through the Services may be subject to additional terms, policies, or program rules (“Additional Terms”). These may include, for example: SpeedyLaps Terms and Privacy Policy, No Kidding Youth Program terms, waivers, and policies, Artificial Intelligence feature provisions governing the DYRT system, other product-specific policies or guidelines that may be presented within the Services. These Additional Terms are incorporated into and form part of these Terms of Use. If there is a conflict between these Terms of Use and any Additional Terms that apply to a specific feature or service, the Additional Terms will control with respect to that specific feature or service, unless expressly stated otherwise. Except for such feature-specific provisions, these Terms of Use will continue to govern your use of the Services as a whole.
1.2 Eligibility
You must be at least 18 years of age to create an account or use the Services independently. Minors may participate in certain Services, including the No Kidding youth training program and SpeedyLaps service only with the authorization and supervision of a parent or legal guardian. By registering a minor for any Services, you represent that: you are the minor's parent or legal guardian; you have the legal authority to consent to the minor's participation; and you accept responsibility for the minor's use of the Services. Use of the Services by children under the age of 13 is subject to the Children's Online Privacy Protection Act (COPPA) and our Privacy Policy.
1.3 Updates to the Terms
RunAdic may update these Terms from time to time. Continued use of the Services after updates constitutes acceptance of the revised Terms.
2.1 Platform Overview
RunAdic is a digital platform designed to support runners through community engagement, training tools, and marketplace services. The RunAdic platform provides a collection of digital services designed to support running, training, and community engagement (collectively, the “Services”). The Services may include, but are not limited to, the following components: RunAdic Platform (mobile application), SpeedyLaps (training and performance tracking), No Kidding Youth Program, DYRT Artificial Intelligence Assistant. Certain components of the Services may be governed by additional terms, policies, or program rules, which will be presented to users when they access or participate in those features.
2.2 Platform Features and Services
RunAdic provides a digital platform designed to support runners, coaches, and athletic communities through technology tools, user connections, and training programs. The Services may include: user profiles and training activity tracking, run clubs and community groups, the Rabbit pacing service marketplace, SpeedyLaps training analytics tools, Elite Plan premium subscription services, the DYRT AI running assistant, the No Kidding youth training program, GPS route tracking and sharing features.
Youth Coaching and Supervision Responsibility
The Services may allow youth participants to interact with coaches, trainers, or other users for purposes of athletic instruction, training coordination, or performance monitoring. Except with respect to official RunAdic-operated programs such as the No Kidding youth training program, coaches and trainers who interact with youth participants through the Services are independent users of the platform and are not employees, agents, or representatives of RunAdic. RunAdic does not supervise, monitor, or control communications or interactions between coaches and youth participants conducted through the Services. RunAdic does not guarantee, verify, or warrant the qualifications, certifications, licensing, experience, or background of any coach unless expressly stated within the Services. Parents and legal guardians are solely responsible for: evaluating the suitability and qualifications of any coach interacting with their child; supervising their child's use of the Services; determining whether participation in any coaching activity is appropriate for their child. RunAdic shall not be responsible for the conduct of any coach, trainer, or user interacting with youth participants through the platform. Parents and guardians acknowledge that they assume responsibility for their child's participation in any coaching or athletic activities arranged through the Services.
3.1 Account Registration
To access certain features of the Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to promptly update such information to keep it accurate and complete at all times. You may not create an account using false information, impersonate another person, or create multiple accounts for deceptive or abusive purposes. RunAdic reserves the right to refuse registration, suspend, or terminate accounts that violate these requirements.
3.2 Account Security
You are solely responsible for maintaining the confidentiality and security of your account credentials, including your username and password. You agree not to share your login credentials with any third party or allow any third party to access your account. You are fully responsible for all activities that occur under your account, whether or not authorized by you. RunAdic shall not be liable for any loss or damage arising from your failure to safeguard your credentials.
3.3 Responsibility for Account Activity
You agree to immediately notify RunAdic of any unauthorized use of your account, suspected breach of security, or any other unauthorized access. You will cooperate with RunAdic in investigating and resolving any such issues. RunAdic reserves the right to take any actions it deems necessary to protect the security of the Services and user accounts, including resetting passwords, suspending access, or terminating accounts.
3.4 Account Suspension and Termination
RunAdic reserves the right, in its sole discretion and without prior notice, to suspend, restrict, or terminate your account or access to the Services at any time for any reason, including but not limited to: violation of these Terms or any incorporated policies; suspected fraudulent, abusive, or unlawful activity; conduct that poses a risk to the safety, security, or integrity of the platform or its users; failure to comply with applicable laws or regulations; prolonged inactivity or non-payment of applicable fees. RunAdic may also remove or disable access to any content associated with your account. You acknowledge that RunAdic shall not be liable to you or any third party for any suspension or termination of your account or access to the Services.
4.1 User-Generated Content
You retain ownership of all content you submit (“User Content”).
4.2 License Granted to RunAdic
You grant RunAdic a perpetual, irrevocable, worldwide, royalty-free, transferable, sublicensable license to use, reproduce, modify, distribute, display, and create derivative works of User Content for purposes including but not limited to operating, improving, marketing, and promoting the Services.
AI TRAINING CLAUSE
You expressly acknowledge and agree that: RunAdic may collect, store, process, and analyze User Content, behavioral data, training data, usage patterns, and interaction data generated through your use of the Services; such data may be used to train, develop, test, and improve machine learning models, artificial intelligence systems, recommendation engines, and analytics tools; data used for AI training may be aggregated, anonymized, de-identified, transformed, or combined with other datasets; RunAdic may use such data to improve platform performance, enhance user experience, develop new features, and optimize system functionality; you grant RunAdic all necessary rights to use such data for these purposes without additional compensation; RunAdic will handle personal data in accordance with its Privacy Policy; AI systems may generate outputs that are incomplete, inaccurate, or unexpected.
4.3 User Responsibility for Content
You agree that your User Content will not: violate any applicable law or regulation; infringe, misappropriate, or violate any intellectual property, privacy, publicity, or other rights of any person or entity; be false, misleading, or deceptive; contain harmful, abusive, harassing, defamatory, obscene, or otherwise objectionable material; contain viruses, malware, or any code intended to disrupt or damage systems; promote illegal or unsafe activities. You are solely responsible for your interactions with other users and for any consequences arising from your User Content. RunAdic does not endorse, verify, or guarantee the accuracy or reliability of any User Content.
4.4 Content Moderation and Removal
RunAdic reserves the right, but does not have the obligation, to monitor, review, screen, edit, restrict, or remove any User Content at any time and for any reason, including where such content violates these Terms or poses a risk to the Services or users. RunAdic may also: remove or disable access to User Content without prior notice; suspend or terminate accounts associated with violating content; comply with legal obligations or requests from law enforcement; preserve or disclose User Content where required by law or to protect rights, safety, or property. You acknowledge that RunAdic does not guarantee the availability, retention, or continued storage of any User Content and may delete content at its discretion. You are responsible for maintaining copies of your User Content.
5.1 User-Created Run Clubs
The Services may allow users to create or participate in community groups, run clubs, or similar user-organized communities (“Run Clubs”). Run Clubs are created and managed by users of the Services. Unless expressly stated otherwise, RunAdic does not organize, sponsor, supervise, or control the activities of any Run Club. RunAdic does not verify the identity, qualifications, or experience of individuals who create or manage Run Clubs. Any activities, events, or communications organized through Run Clubs are conducted solely by the users who participate in them. Participation in any Run Club is voluntary and at the user's own risk.
5.2 Responsibility of Run Club Organizers
Users who create or manage a Run Club (“Club Organizers”) are solely responsible for: organizing club activities and events; communicating with club members; establishing rules for their club; ensuring that club activities are conducted safely and in compliance with applicable laws. Club Organizers are responsible for their interactions with club members and for any events or activities they arrange through the Services. RunAdic does not assume responsibility for the conduct of Club Organizers or members of any Run Club.
5.3 Run Club Code of Conduct
Users who create or participate in Run Clubs agree to conduct themselves in a respectful and responsible manner. Run Clubs and their members must not: engage in harassment, discrimination, or abusive behavior; organize unlawful activities; post misleading or fraudulent information about club events; promote unsafe or dangerous activities; violate the rights of other users. RunAdic reserves the right to remove content, restrict participation, or suspend accounts associated with Run Clubs that violate these Terms or that pose safety risks to users.
5.4 Run Club Events and Activities
The Services may allow users to create or participate in community groups or run clubs (“Run Clubs”). Run Clubs may organize group runs, meetups, training sessions, or other activities (“Club Events”). Unless expressly identified within the Services as an official RunAdic event, Club Events are organized solely by the users or Run Clubs that create them and are not organized, sponsored, supervised, or controlled by RunAdic. RunAdic may from time to time organize or host its own official events (“RunAdic Events”). RunAdic Events will be clearly identified as events hosted or sponsored by RunAdic within the Services or through official communications. All other events, meetups, or activities organized through Run Clubs or by individual users are considered third-party events, even if they are promoted or coordinated through the Services. RunAdic does not review or approve third-party Club Events and does not verify the qualifications, experience, or safety practices of Run Club organizers or participants. Participation in any Club Event organized by a Run Club or other users is voluntary and occurs at the participant's own risk. To the fullest extent permitted by applicable law, RunAdic shall not be responsible or liable for any injuries, damages, losses, or other claims arising out of or related to participation in Club Events organized by Run Clubs or other users through the Services. Run Club organizers are solely responsible for the planning, safety, and operation of any Club Events they organize and for ensuring that such activities comply with applicable laws and safety practices. RunAdic does not verify the safety, legality, or accessibility of running routes or locations shared through Run Clubs.
5.5 No Agency or Partnership for Run Clubs
Run Clubs and Club Events created through the Services are organized and operated solely by users of the platform. Users who create or manage Run Clubs or organize Club Events (“Club Organizers”) act independently and are not employees, agents, representatives, partners, or affiliates of RunAdic. Nothing in the Services or these Terms shall be interpreted as creating any partnership, joint venture, agency, employment, or other similar relationship between RunAdic and any Run Club, Club Organizer, or participant. Club Organizers do not have authority to act on behalf of RunAdic, to bind RunAdic to any agreement, or to represent that their activities are endorsed, supervised, or approved by RunAdic unless expressly authorized by RunAdic in writing. Any statements, communications, or representations made by Run Clubs or Club Organizers are made solely on their own behalf and not on behalf of RunAdic. RunAdic shall not be responsible for the actions, omissions, representations, or conduct of any Run Club or Club Organizer.
5.6 Run Club Organizer Responsibilities and Compliance
Users who create or manage Run Clubs or organize Club Events through the Services (“Club Organizers”) are solely responsible for the planning, coordination, and conduct of those activities. Club Organizers agree that they are responsible for ensuring that any Club Events or activities organized through the Services comply with all applicable laws, regulations, and local requirements, including any requirements related to public safety, permits, use of public spaces, traffic regulations, or event management. Club Organizers are responsible for communicating accurate information to participants regarding the nature of Club Events, including location, timing, expected difficulty, and any safety considerations relevant to the activity. Club Organizers are also responsible for taking reasonable precautions to promote the safety of participants and for ensuring that Club Events are conducted in a manner that does not create unnecessary risks to participants or members of the public. RunAdic does not supervise, manage, or enforce compliance for Club Events organized by users and shall not be responsible for ensuring that Club Organizers comply with applicable laws or safety practices. Club Organizers agree to indemnify and hold harmless RunAdic from any claims, damages, losses, or liabilities arising out of or related to Club Events they organize or activities conducted through their Run Clubs.
5.7 Run Club Naming and Branding
Run Clubs created through the Services are independent user-created communities and are not affiliated with RunAdic unless expressly authorized by RunAdic in writing. Run Clubs and Club Organizers may not represent that their club, activities, or events are sponsored, endorsed, or officially affiliated with RunAdic unless such relationship has been formally approved by RunAdic. Run Clubs may not use the RunAdic name, logos, trademarks, or branding in a manner that suggests official status, endorsement, or partnership with RunAdic. Without limitation, Run Clubs may not use names or descriptions that are likely to cause confusion regarding affiliation with RunAdic, including names such as: “Official RunAdic Club”, “RunAdic Miami Club”, “RunAdic Certified Run Group” unless expressly authorized by RunAdic. RunAdic reserves the right to require a Run Club to modify its name, branding, or description if RunAdic determines, in its sole discretion, that the club's name or presentation may create confusion regarding affiliation with RunAdic. Failure to comply with this policy may result in the removal of the Run Club, modification of the club's name, or suspension of the associated user account.
5.8 Run Club Content and Moderation
Run Clubs created through the Services may allow users to post content, including event details, running routes, training information, messages, images, or other materials (“Run Club Content”). Run Club Content is created and controlled by users of the Services. RunAdic does not routinely monitor, verify, or review Run Club Content and does not guarantee the accuracy, safety, or legality of any content shared within Run Clubs. Users are solely responsible for any Run Club Content they create, post, or share through the Services. Run Clubs and their members may not post or distribute content that: promotes unsafe or dangerous activities; violates applicable laws or regulations; contains harassment, threats, or discriminatory material; infringes on the intellectual property rights of others; contains false or misleading information about events or activities. RunAdic reserves the right, but has no obligation, to review, remove, restrict, or disable access to Run Club Content that RunAdic determines, in its sole discretion, violates these Terms or may create risks to users or the platform. RunAdic may also suspend or terminate Run Clubs or user accounts associated with repeated violations of this policy.
5.9 Reporting and Safety Tools
RunAdic may provide tools within the Services that allow users to report content, Run Clubs, events, or user behavior that they believe violates these Terms or creates safety concerns. Users are encouraged to use these reporting tools if they encounter: harassment or abusive behavior; unsafe or dangerous activities; misleading or fraudulent event information; violations of these Terms or applicable laws. RunAdic may review reports submitted by users and may take actions it determines appropriate in its sole discretion, including removing content, restricting access to Run Clubs, suspending user accounts, or terminating access to the Services. While RunAdic may investigate reports and take enforcement actions, RunAdic is not obligated to monitor the Services or to investigate every report submitted by users. RunAdic makes no guarantee regarding the timing or outcome of any review or enforcement action and shall not be responsible for any claims arising from user-generated content, Run Club activities, or interactions between users.
5.10 Running Routes and Location Disclaimer
The Services may allow users, Run Clubs, or Club Organizers to share or post running routes, meetup locations, event locations, or other geographic information (“Routes”). Routes and location information shared through the Services are created and provided by users or third parties and are not reviewed, verified, or endorsed by RunAdic. RunAdic does not guarantee that any Route is safe, accessible, lawful, or appropriate for running or other activities. Routes shared through the Services may involve: public roads or sidewalks; trails or outdoor areas; areas with vehicle traffic; private property or restricted locations; areas that may present environmental or safety hazards. Users are responsible for exercising their own judgment when choosing to follow any Route or attend any location shared through the Services. Before participating in any run or event, users should evaluate weather conditions, traffic, terrain, personal fitness level, and any other factors that may affect their safety. To the fullest extent permitted by applicable law, RunAdic shall not be responsible or liable for any injuries, accidents, damages, losses, or other claims arising from or related to the use of Routes or location information shared through the Services.
5.11 Platform Non-Liability for Run Club Activities
Run Clubs created through the Services may organize or promote group runs, training sessions, meetups, races, or other activities that occur outside the platform (“Club Events”). Unless expressly stated otherwise, Club Events are organized solely by users of the Services and are not organized, sponsored, supervised, or controlled by RunAdic. RunAdic does not review or approve Club Events and does not verify the qualifications, experience, or safety practices of Club Organizers or participants. Participation in any Club Event is entirely voluntary and occurs at the user's own risk. RunAdic does not provide supervision, insurance coverage, safety monitoring, or event management for Club Events. Users are responsible for determining whether a Club Event is appropriate and safe for them to attend. To the fullest extent permitted by applicable law, RunAdic shall not be responsible or liable for any injuries, accidents, damages, losses, or other claims arising out of or related to participation in any Club Event organized through the Services. Users who organize Club Events are responsible for ensuring that such events comply with applicable laws, safety practices, and any local requirements relating to group activities or athletic events. RunAdic does not provide insurance coverage for events organized by users through the Services.
5.12 Moderation and Removal of Run Clubs
RunAdic reserves the right, but has no obligation, to monitor Run Clubs created through the Services. RunAdic may remove or restrict access to any Run Club, event listing, or community content that: violates these Terms; promotes unsafe or unlawful activity; creates risk to users or the platform. RunAdic may also suspend or terminate accounts of users who repeatedly violate Run Club rules or community standards.
6.1 Rabbit Pacing Service Overview
RunAdic may offer a service known as Rabbit, which allows users to book experienced runners (“Rabbits”) to provide pacing assistance during training runs, workouts, or races. Rabbit services are provided by independent runners who offer pacing assistance through the platform. RunAdic provides the technology platform that allows users to discover and book Rabbits but does not itself provide pacing services.
6.2 Independent Contractor Status
Rabbits providing pacing services through the platform are independent contractors and are not employees, agents, partners, or representatives of RunAdic. RunAdic does not supervise or control how Rabbits perform pacing services and does not guarantee the qualifications, experience, or performance of any Rabbit. Rabbits are solely responsible for their interactions with users and for the services they provide.
6.3 Rabbit Eligibility and Qualification Requirements
Individuals who wish to provide pacing services through the Rabbit program must meet any eligibility requirements established by RunAdic. RunAdic may establish criteria for participation in the Rabbit program, which may include factors such as running experience, reliability, performance metrics, or other qualifications determined by RunAdic. Participation in the Rabbit program is subject to approval by RunAdic. RunAdic reserves the right, in its sole discretion, to accept or reject any applicant for the Rabbit program and to suspend or remove Rabbits from the platform at any time. RunAdic does not guarantee that Rabbits will receive pacing requests or bookings through the Services. Rabbits are responsible for ensuring that they are physically capable of participating in pacing sessions and for conducting their activities in a safe and responsible manner.
6.4 Booking and Scheduling
Users may request pacing services through the RunAdic platform by booking a Rabbit. Availability, scheduling, and acceptance of pacing requests are determined by the Rabbit providing the service. RunAdic does not guarantee that a pacing request will be accepted or fulfilled.
6.5 Payments and Fees
Bookings for Rabbit services may require payment through the RunAdic platform. Fees, pricing, and payment terms will be displayed at the time of booking. RunAdic may collect payment on behalf of Rabbits or process payments through third-party payment providers. Users agree to pay all applicable fees associated with their Rabbit bookings.
6.6 Cancellation and No-Show Policy
Users and Rabbits are responsible for honoring scheduled pacing sessions. Cancellation policies, including any applicable fees, may be displayed at the time of booking. RunAdic may establish guidelines regarding cancellations, rescheduling, or missed sessions.
6.7 Physical Activity Risk
Participation in running activities with a Rabbit involves physical exertion and inherent risks. Users acknowledge that running may involve risks including: falls or collisions; weather conditions; terrain hazards; traffic or environmental risks; physical injury or medical complications. Users assume all risks associated with participating in pacing sessions arranged through the Services.
6.8 Rabbit Safety and Meeting Disclaimer
Rabbit pacing sessions may involve in-person meetings between users and Rabbits at locations such as running routes, parks, tracks, race venues, or other public spaces. RunAdic does not supervise, control, or monitor in-person interactions between users and Rabbits. Users and Rabbits are solely responsible for determining whether it is safe and appropriate to meet or participate in a pacing session at any particular location. Users and Rabbits should exercise caution when arranging in-person meetings and should follow reasonable safety practices. To the fullest extent permitted by applicable law, RunAdic shall not be responsible or liable for any injuries, incidents, damages, or disputes arising from in-person interactions between users and Rabbits.
6.9 Rabbit Ratings and Reviews
The Services may allow users to rate or review Rabbits based on their pacing sessions. Ratings and reviews are opinions provided by users and do not represent the views or endorsements of RunAdic. RunAdic does not guarantee the accuracy, fairness, or reliability of any ratings or reviews submitted through the Services. RunAdic reserves the right, but has no obligation, to remove reviews that violate these Terms, including reviews that contain abusive language, false statements, or unlawful content. Rabbits acknowledge that ratings and reviews may influence their visibility or participation within the Rabbit program.
6.10 Rabbit Payment Processing
Payments for Rabbit pacing services may be processed through the RunAdic platform or through third-party payment processors integrated with the Services. RunAdic may facilitate payments between users and Rabbits but is not a party to the pacing services agreement between them. If RunAdic collects payments on behalf of Rabbits, RunAdic may deduct applicable service fees or platform charges before transferring the remaining amounts to the Rabbit providing the service. Users agree to pay all applicable fees associated with Rabbit bookings. Rabbits are solely responsible for complying with any tax obligations or reporting requirements applicable to the earnings they receive from pacing services. RunAdic does not provide tax advice and shall not be responsible for any tax liabilities associated with Rabbit services.
6.11 Rabbit Earnings Disclaimer
Rabbits may receive compensation for pacing services booked through the Services. However, RunAdic does not guarantee that Rabbits will receive any minimum number of bookings, pacing requests, or earnings through the Rabbit program. The availability of bookings may vary based on factors including user demand, geographic location, race schedules, training seasons, and user preferences. Any earnings projections, promotional materials, or informational statements regarding potential earnings are provided for illustrative purposes only and do not constitute guarantees of income. Rabbits acknowledge that participation in the Rabbit program does not create an employment relationship with RunAdic and that Rabbits are solely responsible for their own financial planning, tax obligations, and business decisions related to their participation in the program.
6.12 No Guarantee of Rabbit Service Quality
Rabbit pacing services are provided by independent runners who offer pacing assistance through the RunAdic platform. RunAdic does not guarantee the skill level, qualifications, performance, reliability, or suitability of any Rabbit providing services through the platform. Information about Rabbits, including experience, pace capabilities, availability, or user ratings, may be provided for informational purposes only and is based on information supplied by users or Rabbits themselves. RunAdic does not verify all such information and does not warrant its accuracy. Users are responsible for selecting a Rabbit whose experience, pace, and availability are appropriate for their training goals or event needs. RunAdic does not guarantee that a pacing session will result in specific training outcomes, race results, or performance improvements. To the fullest extent permitted by applicable law, RunAdic shall not be responsible or liable for the quality, effectiveness, or outcomes of pacing services provided by Rabbits.
6.13 Disputes Between Users and Rabbits
Pacing sessions arranged through the Rabbit service are agreements between the user requesting the pacing service and the Rabbit providing the service. RunAdic is not a party to any pacing services agreement between users and Rabbits. If a dispute arises between a user and a Rabbit regarding a pacing session, including but not limited to scheduling issues, service performance, cancellations, payments, or conduct during a pacing session, the parties involved agree to attempt to resolve the dispute directly with one another. RunAdic has no obligation to mediate or resolve disputes between users and Rabbits. However, RunAdic may, in its sole discretion, review disputes and take actions it determines appropriate to maintain the integrity of the platform, including suspending or terminating accounts. To the fullest extent permitted by applicable law, RunAdic shall not be responsible or liable for any claims, damages, losses, or liabilities arising out of or related to disputes between users and Rabbits.
6.14 Platform Non-Liability for Rabbit Services
RunAdic provides the platform through which users and Rabbits connect but does not control or supervise pacing services. To the fullest extent permitted by law, RunAdic shall not be responsible or liable for: the conduct of Rabbits or users; the quality or effectiveness of pacing services; injuries occurring during pacing sessions; disputes between users and Rabbits.
6.15 User and Rabbit Conduct
Users and Rabbits must interact respectfully and safely when participating in pacing sessions. Harassment, unsafe behavior, or violations of applicable laws may result in suspension or termination of access to Rabbit services.
6.16 Removal from Rabbit Program
RunAdic reserves the right to remove a Rabbit from the platform or restrict access to Rabbit services if RunAdic determines that the individual has violated platform policies or created risks to users.
The RunAdic “SpeedyLaps” training and analytics features are subject to additional terms, conditions, policies, and disclosures, including without limitation the SpeedyLaps Terms of Use and SpeedyLaps Privacy Policy (collectively, the “SpeedyLaps Terms and Policies”), which are made available to users in connection with their access to or use of SpeedyLaps features. By accessing or using SpeedyLaps features through the Services, you acknowledge and agree that the SpeedyLaps Terms and Policies are hereby incorporated into and form a part of these Terms of Use as if fully set forth herein. In the event of any conflict between these Terms of Use and the SpeedyLaps Terms and Policies, the SpeedyLaps Terms and Policies shall control with respect to matters specifically relating to SpeedyLaps features and functionality. Access to and use of SpeedyLaps features is conditioned upon acceptance of the applicable SpeedyLaps Terms and Policies, and RunAdic reserves the right to restrict, suspend, or terminate access to such features for failure to comply with those terms.
8.1 Elite Plan Membership
RunAdic may offer a premium membership program known as the Elite Plan (“Elite Plan”) that provides subscribers with access to enhanced features, services, or training resources available through the Services. Features associated with the Elite Plan may include, but are not limited to: advanced training tools; enhanced analytics or performance tracking; priority access to certain features or content; premium coaching resources or training guidance; other benefits offered by RunAdic from time to time. RunAdic reserves the right to modify, expand, or discontinue Elite Plan features at its discretion.
8.2 Subscription Billing
Access to the Elite Plan may require payment of a recurring subscription fee. By subscribing to the Elite Plan, you authorize RunAdic to charge the applicable subscription fees to your designated payment method on a recurring basis according to the billing cycle selected at the time of purchase. Subscription fees may be billed on a monthly, annual, or other recurring basis as specified during enrollment. Users are responsible for ensuring that their payment information remains accurate and up to date.
8.3 Automatic Renewal
Elite Plan subscriptions automatically renew at the end of each billing cycle unless canceled prior to the renewal date. By enrolling in the Elite Plan, you authorize RunAdic to automatically renew your subscription and charge the applicable subscription fee for the next billing period using the payment method on file. Users may cancel their subscription at any time through their account settings or through the methods provided within the Services.
8.4 Cancellation and Refund Policy
Unless otherwise required by applicable law, subscription fees for the Elite Plan are non-refundable once the billing period has begun. If a user cancels an Elite Plan subscription, access to Elite Plan features will remain available until the end of the current billing cycle. RunAdic reserves the right to modify pricing or subscription terms with reasonable notice to users.
8.5 Feature Availability
Elite Plan features may depend on technical systems, data availability, and third-party services. RunAdic does not guarantee uninterrupted access to Elite Plan features and shall not be liable for temporary interruptions, technical issues, or feature changes that may occur as the platform evolves.
8.6 Training and Performance Disclaimer
Any training plans, analytics, recommendations, or coaching information provided through the Elite Plan are intended for informational and general training purposes only. RunAdic does not guarantee specific athletic results or improvements in performance from the use of Elite Plan features. Users should consult qualified professionals regarding training programs or health concerns before undertaking intensive athletic activity.
8.7 Pricing Changes
RunAdic reserves the right to modify the pricing of the Elite Plan or any subscription-based features offered through the Services. If RunAdic changes the price of an Elite Plan subscription, RunAdic will provide reasonable notice to affected users prior to the price change taking effect. Unless otherwise stated, price changes will apply beginning with the next billing cycle following the effective date of the change. If a user does not agree to a price change, the user may cancel their Elite Plan subscription before the next renewal date to avoid being charged at the updated price. Continued use of the Elite Plan after the effective date of a pricing change constitutes acceptance of the updated pricing.
8.8 Elite Plan Content and Materials
Elite Plan subscribers may receive access to training plans, performance analytics, instructional materials, coaching content, or other premium resources (“Elite Content”). Elite Content is provided solely for the personal, non-commercial use of the subscriber. Users may not reproduce, distribute, publicly display, publish, sell, license, or otherwise exploit Elite Content without the prior written permission of RunAdic. Users may not share Elite Plan login credentials, download materials for redistribution, or otherwise provide unauthorized access to Elite Content to non-subscribers. RunAdic retains all intellectual property rights in Elite Content and may modify, update, or replace such content at any time as the Services evolve. Violation of this section may result in suspension or termination of Elite Plan access and may subject the user to additional legal remedies available to RunAdic.
8.9 Elite Plan Termination
RunAdic reserves the right to suspend or terminate Elite Plan access if a user violates the Terms of Use or engages in conduct that threatens the integrity of the platform or other users. RunAdic may also discontinue the Elite Plan program or modify available features at any time.
The RunAdic “No Kidding” youth program is subject to additional terms, conditions, policies, waivers, consents, and disclosures, including without limitation applicable privacy policies (collectively, the “No Kidding Program Terms and Policies”), which are made available to participants and their parents or legal guardians at the time of registration or participation. By enrolling in or participating in the No Kidding program, you acknowledge and agree that the No Kidding Program Terms and Policies are hereby incorporated into and form a part of these Terms of Use as if fully set forth herein. In the event of any conflict between these Terms of Use and the No Kidding Program Terms and Policies, the No Kidding Program Terms and Policies shall control with respect to matters specifically relating to the youth program. Participation in the No Kidding program is conditioned upon acceptance of the No Kidding Program Terms and Policies, and RunAdic reserves the right to deny, suspend, or revoke participation for failure to comply with such terms.
The Services may include artificial intelligence–powered functionality, including a virtual training assistant known as DYRT, which allows users to submit questions and receive automated responses related to running, training, and general athletic topics. DYRT operates using automated artificial intelligence systems and is provided as part of the overall Services subject to these Terms.
10.1 DYRT Informational Guidance Disclaimer
The Services may include an artificial intelligence–powered virtual assistant or training feature known as DYRT, which is designed to provide automated responses to user questions related to running, training, and general athletic topics. DYRT is provided for informational and educational purposes only. The responses generated by DYRT are created automatically using artificial intelligence technology and may not always be accurate, complete, or appropriate for your individual circumstances. DYRT does not provide professional coaching, medical advice, diagnosis, treatment, or individualized training plans. Users should not rely on DYRT as a substitute for advice from qualified professionals, including medical providers, certified coaches, or athletic trainers. You acknowledge that any decisions you make based on information provided by DYRT are made at your own discretion and risk.
10.2 Artificial Intelligence Limitations of Liability
You understand and agree that the DYRT feature operates using automated artificial intelligence systems that generate responses based on available information and user input. RunAdic does not guarantee that responses generated by DYRT will be accurate, reliable, safe, or suitable for any particular purpose. The platform does not monitor or review every response generated by the system. RunAdic shall not be responsible or liable for any injuries, damages, or losses that may result from reliance on information provided through the DYRT feature. Users are responsible for exercising independent judgment and taking appropriate precautions when engaging in physical activities, including running and athletic training. DYRT responses are generated automatically and are not reviewed by RunAdic before being displayed to users. No Medical Advice: The Services, including DYRT, are not intended to provide medical advice. If you have concerns about your health, fitness level, or ability to participate in physical activity, you should consult a qualified healthcare professional before engaging in training activities.
10.3 User Responsibility for AI Interactions
When using the DYRT artificial intelligence feature, you are responsible for the content of the questions, prompts, or information that you choose to submit. You agree not to submit information that is unlawful, harmful, abusive, or otherwise inappropriate through the DYRT interface. You also agree not to submit sensitive personal information, including medical information or personal data relating to other individuals, unless such information is reasonably necessary for the use of the Services. You understand that DYRT generates automated responses based on user input and available information, and that the system may not fully understand the context or accuracy of information provided by users. RunAdic is not responsible for responses generated as a result of inaccurate, incomplete, or misleading information submitted by users through the DYRT feature. Users are responsible for exercising reasonable judgment and taking appropriate precautions when interpreting or acting upon any information generated by the DYRT system. If you experience pain, injury, or medical concerns while participating in athletic activities, you should discontinue activity and consult a qualified medical professional.
10.4 Acceptable Use of AI Features
The DYRT artificial intelligence feature is provided to assist users with general informational questions related to running and athletic training. Users agree to use the DYRT feature in a responsible and lawful manner. You agree not to use the DYRT feature to: submit unlawful, harmful, threatening, abusive, harassing, or defamatory content; attempt to generate or distribute misleading, fraudulent, or deceptive information; request or generate instructions related to illegal activities; attempt to extract confidential information, proprietary system details, or other protected data from the platform; submit prompts designed to disrupt, manipulate, or interfere with the proper functioning of the DYRT system; impersonate another person or misrepresent your identity when interacting with the system; submit personal information about other individuals without authorization. RunAdic reserves the right to monitor interactions with the DYRT feature for the purpose of maintaining system integrity, investigating misuse, and ensuring compliance with these Terms. RunAdic may suspend or terminate access to the DYRT feature or the Services if a user engages in misuse or violates this Acceptable Use provision.
10.5 AI Safety and Health Disclaimer
The DYRT artificial intelligence feature may generate responses that relate to running, exercise routines, training suggestions, recovery guidance, or other physical activity topics. Users understand that participation in running and athletic training involves inherent physical risks, including the risk of injury, illness, or other health-related conditions. Information generated by DYRT is general informational content and is not based on an evaluation of your individual health, fitness level, medical history, or physical condition. The DYRT system does not monitor your physical activity or health status and cannot determine whether any particular training activity is appropriate or safe for you. Before beginning or modifying any exercise or training program, users should consult with a qualified healthcare professional or certified fitness professional, particularly if they have any existing health conditions, injuries, or medical concerns. If you experience pain, discomfort, dizziness, injury, or any other concerning symptoms during physical activity, you should discontinue the activity and seek appropriate medical advice. RunAdic shall not be responsible for injuries or health-related issues that may arise from participation in running or training activities, including those undertaken in reliance on information generated by the DYRT feature.
10.6 Assumption of Risk for AI-Guided Physical Activity
You acknowledge and agree that the DYRT AI assistant may provide training suggestions, pacing guidance, workout recommendations, or other activity-related outputs based on automated processes, user inputs, and available data. Such outputs are generated by artificial intelligence and are not created, reviewed, or supervised by licensed professionals. You further acknowledge that engaging in any physical activity based on AI-generated guidance involves inherent risks, including but not limited to physical injury, overexertion, dehydration, illness, or death. You expressly understand and agree that: DYRT outputs may be incomplete, inaccurate, outdated, or not tailored to your individual fitness level, health condition, or physical limitations; DYRT does not evaluate your medical condition, injury history, or fitness readiness; DYRT does not provide medical, coaching, or professional training advice; reliance on AI-generated recommendations is entirely at your own risk. You are solely responsible for: determining whether you are physically and medically able to participate in any activity; consulting with a qualified medical or fitness professional as appropriate; modifying or discontinuing any activity if you experience pain, discomfort, or adverse effects. To the fullest extent permitted by law, you voluntarily assume all risks associated with following or relying on any guidance, recommendations, or outputs generated by DYRT or any other AI feature within the Services. RunAdic expressly disclaims all liability for any injury, harm, damage, or loss arising out of or related to your use of or reliance on AI-generated guidance, recommendations, or outputs.
10.7 AI Accuracy and Automated Response Disclaimer
You acknowledge and agree that the DYRT AI assistant utilizes automated systems, machine learning models, and algorithmic processes to generate responses, insights, recommendations, and other outputs based on available data and user inputs. DYRT responses are generated without human review and may be incomplete, inaccurate, inconsistent, or inappropriate for your specific circumstances. Outputs may vary over time and may differ based on changes in data, system updates, or other factors. You further acknowledge that: DYRT does not independently verify the accuracy, completeness, or reliability of any information it provides; DYRT may generate responses that are incorrect, misleading, or not aligned with current best practices; DYRT outputs are based on patterns and data inputs and do not reflect professional judgment or individualized assessment; DYRT may fail to consider relevant factors specific to your personal health, environment, or training conditions. All DYRT outputs are provided for general informational purposes only and are not intended to constitute medical advice, coaching advice, or any other professional guidance. You are solely responsible for evaluating the accuracy and appropriateness of any information provided by DYRT and for determining whether to rely on such information. You should consult with qualified professionals where appropriate before making decisions based on AI-generated outputs. To the fullest extent permitted by law, RunAdic disclaims all liability for any errors, omissions, inaccuracies, or outcomes arising from your use of or reliance on DYRT or any AI-generated responses within the Services.
10.8 AI System Training and Improvement
To improve the functionality, reliability, and safety of the DYRT artificial intelligence feature, RunAdic may analyze interactions between users and the DYRT system. User prompts, questions, and related system responses may be reviewed or processed in order to: improve the accuracy and usefulness of the system; identify and correct technical errors; enhance safety and performance of the Services; develop improvements to artificial intelligence functionality. Where feasible, RunAdic will use aggregated or de-identified information for system improvement purposes. RunAdic does not use DYRT interactions to identify individual users unless necessary to investigate system misuse, ensure platform security, or comply with legal obligations. Users should avoid submitting sensitive personal information, including medical, financial, or other confidential information, through the DYRT interface. By using the DYRT feature, you acknowledge that interactions with the system may be processed for the purposes described above.
10.9 Ownership and Use of AI-Generated Content
The DYRT feature generates automated responses using artificial intelligence technology. Responses generated by DYRT (“AI Output”) are created automatically in response to user prompts and are provided solely for informational purposes within the Services. RunAdic retains all rights, title, and interest in and to the DYRT system, including the software, algorithms, models, and underlying technology used to generate AI Output. Subject to these Terms, users may view and use AI Output generated through the DYRT feature for their personal, non-commercial use in connection with the Services. Users may not represent AI Output as professional coaching advice, medical guidance, or official training instructions from RunAdic. Users may not reproduce, distribute, exploit, or use AI Output in a manner that misrepresents the nature of the information or suggests that RunAdic provides individualized coaching, medical advice, or professional athletic training services. RunAdic does not guarantee that AI Output will be accurate, complete, or appropriate for any particular purpose, and users remain responsible for evaluating and using the information at their own discretion.
10.10 Modification or Availability of AI Features
RunAdic may update, modify, suspend, or discontinue the DYRT artificial intelligence feature, or any portion of its functionality, at any time and without prior notice. Because DYRT operates using evolving artificial intelligence technologies, the nature, capabilities, and responses generated by the system may change over time. RunAdic does not guarantee the continued availability of the DYRT feature or that the feature will operate in any particular manner. RunAdic reserves the right to modify, retrain, or adjust the operation of DYRT in order to improve the Services, address safety concerns, comply with legal requirements, or maintain the integrity of the platform. Users acknowledge that the DYRT feature is provided as part of the overall Services and may be altered, limited, or removed at RunAdic's discretion.
11.1 Assumption of Risk for Athletic Activities; Release of Liability; Safety Responsibilities and Data Accuracy
Running, athletic training, and other physical activities involve inherent risks that cannot be eliminated regardless of the care taken to avoid injury. These risks may include, but are not limited to: falls, slips, or collisions; muscle strains or other musculoskeletal injuries; dehydration, heat exhaustion, or heat stroke; cardiac events or other medical emergencies; injuries resulting from road conditions, terrain, traffic, weather, or environmental hazards. By accessing or using the Services, participating in any activities arranged through the Services, or participating in any RunAdic-operated programs, including the No Kidding youth training program and Elite Coaching services, you acknowledge and voluntarily assume all risks associated with such activities. You represent that you are physically capable of participating in athletic activities and that you understand the risks involved. Release and Waiver of Liability: To the fullest extent permitted by applicable law, you agree to release, waive, and discharge RunAdic LLC and its officers, directors, employees, agents, affiliates, and service providers from any and all claims, liabilities, damages, losses, or expenses arising out of or related to: your use of the Services; your participation in running, athletic training, or physical activities arranged through the Services; participation in any user-organized runs, meetups, training sessions, or athletic events; participation in any RunAdic-operated programs, including the No Kidding youth training program and Elite Coaching; and your interactions with other users of the Services. This release applies to claims arising from negligence or otherwise, to the maximum extent permitted by law. You acknowledge that running and athletic activities involve inherent risks of injury, illness, or death, and you voluntarily assume all such risks. User Responsibility for Safety: You are solely responsible for exercising appropriate judgment and caution when participating in any athletic activities arranged through the Services. RunAdic does not: evaluate or guarantee the safety of running routes or training locations; monitor environmental conditions, including weather, traffic, or terrain hazards; supervise or monitor user-organized activities or events; or ensure the safety of interactions between users. You agree to evaluate all relevant safety factors before engaging in any athletic activity, including traffic conditions, weather conditions, terrain, lighting, and your own physical condition. Performance Data and Technology Limitations (SpeedyLaps): The Services may include performance tracking features, including the SpeedyLaps performance tracking system, which allows users to record training data such as running times, distances, and other athletic metrics. Such data may be generated from user input, mobile device sensors, GPS signals, or third-party integrations. RunAdic does not guarantee the accuracy, reliability, completeness, or availability of any performance data generated through the Services. You acknowledge that performance data provided through the Services may contain errors or inaccuracies and should not be relied upon as the sole basis for making training, health, or athletic decisions. Users remain solely responsible for evaluating their own physical condition and training practices.
11.2 No Medical Advice
The Services, including the Elite Plan, SpeedyLaps performance tools, training plans, analytics, coaching insights, and any recommendations provided through the DYRT AI assistant or other platform features, are intended for informational and general fitness purposes only. RunAdic is not a medical provider and does not provide medical advice, diagnosis, or treatment. Nothing contained within the Services should be interpreted as medical advice or as a substitute for consultation with qualified healthcare professionals. Users should consult a physician or other qualified healthcare provider before beginning any exercise program, training regimen, or athletic activity, particularly if they have any existing medical conditions, injuries, or health concerns. Participation in running or training activities may involve physical exertion and inherent health risks. Users are solely responsible for determining whether participation in such activities is appropriate for their physical condition. RunAdic does not guarantee that the use of any training program, analytics tool, coaching content, or AI-generated recommendations will result in improved performance, fitness outcomes, or health benefits. To the fullest extent permitted by applicable law, RunAdic shall not be responsible or liable for any injuries, health conditions, or medical complications that may arise from the use of the Services or from participation in training programs, athletic activities, or events associated with the platform.
11.3 Weather and Environmental Risks
You acknowledge and agree that participation in running, training, or any physical activity through the Services may expose you to inherent risks arising from weather conditions and environmental factors, including but not limited to extreme heat, cold, humidity, rain, snow, ice, wind, lightning, poor air quality, uneven terrain, traffic conditions, wildlife, and other natural or man-made hazards. RunAdic does not monitor, control, or guarantee the safety of environmental conditions and does not provide real-time safety warnings or alerts unless expressly stated. Any information that may be made available through the Services regarding weather, terrain, or environmental conditions is provided for informational purposes only and may be incomplete, delayed, or inaccurate. You are solely responsible for: assessing weather and environmental conditions prior to and during any activity; determining whether it is safe and appropriate to engage in any activity; taking appropriate precautions, including hydration, appropriate gear, route selection, and personal safety measures. You acknowledge that environmental conditions can change rapidly and unpredictably, and that reliance on the Services for safety-related decisions is at your own risk. To the fullest extent permitted by law, RunAdic disclaims all liability for any injury, illness, damage, or loss arising out of or related to weather conditions, environmental hazards, or your participation in activities under such conditions.
11.4 Route and Terrain Risks
The Services may allow users to view, create, share, or access information about running routes, training segments, performance records, or competitive challenges. Any such routes, segments, performance rankings, or competitive features are provided for informational and recreational purposes only. RunAdic does not review, verify, or evaluate the safety, legality, or suitability of any route, location, or segment that may be displayed within the Services. Routes or segments shared through the Services may include areas with traffic, uneven terrain, environmental hazards, restricted access areas, or other potentially dangerous conditions. Participation in route-based training, competitive challenges, or performance comparisons may encourage users to run faster or train more aggressively than they otherwise would. You acknowledge that such activities may increase the risk of injury or accident. You agree that you are solely responsible for: evaluating the safety and legality of any running route or location; complying with all applicable traffic laws and local regulations; exercising appropriate caution when participating in any route-based or competitive activity. RunAdic does not assume any responsibility for injuries, accidents, or damages arising from the use of route information, shared segments, or competitive features within the Services. Participation in such activities is voluntary and undertaken entirely at your own risk.
11.5 Real-World Activity Waiver and Acknowledgment
The Services may allow users to connect with other runners, participate in group runs, engage with coaches, or otherwise coordinate athletic activities outside of the platform. These activities occur in the real world and are not organized, supervised, or controlled by RunAdic, unless expressly stated otherwise. You acknowledge that participation in running, training sessions, group runs, athletic events, or other physical activities involves inherent risks. These risks may include, without limitation: physical injury or illness; accidents involving vehicles, obstacles, or environmental conditions; interactions with other individuals or third parties; weather-related hazards or unsafe terrain; overexertion or other health-related complications. You understand that RunAdic does not supervise or monitor real-world activities between users and does not verify the identity, qualifications, experience, or safety practices of individuals who may participate in such activities through the Services. Any decision to participate in real-world activities with other users, coaches, or third parties that you meet or connect with through the Services is made voluntarily and at your own risk. To the fullest extent permitted by applicable law, you release and hold harmless RunAdic, its owners, officers, employees, and affiliates from any claims, damages, injuries, losses, or liabilities arising out of or related to participation in real-world activities connected to the Services. Users are responsible for exercising reasonable judgment, taking appropriate safety precautions, and complying with applicable laws and local regulations when participating in any athletic activity. User Interaction and Meeting Safety: The Services may allow users to communicate with or connect with other individuals, including runners, coaches, or other members of the community. You understand that RunAdic does not verify the identity, qualifications, background, or intentions of users of the Services. Except where expressly stated otherwise, RunAdic does not conduct background checks or screening of users. If you choose to communicate with or meet other individuals through the Services, you do so voluntarily and at your own risk. Users are responsible for exercising appropriate caution and judgment when interacting with other users, particularly when arranging in-person meetings or participating in activities outside the platform. RunAdic is not responsible for the conduct of any users, whether online or offline. RunAdic shall not be liable for any claims, injuries, damages, or losses arising from interactions or activities involving other users of the Services. Users are encouraged to take reasonable safety precautions when meeting other individuals, including meeting in public places, informing trusted contacts of their plans, and complying with applicable laws and safety practices. RunAdic reserves the right to suspend or terminate user accounts that engage in conduct that violates these Terms or that poses a risk to the safety of other users.
12.1 GPS and Location Accuracy Disclaimer
Certain features of the Services, including SpeedyLaps performance tracking, route sharing, and other activity tracking tools, may rely on GPS, mobile device sensors, mapping technologies, or third-party location services (“Location Services”). Location Services may not always be accurate, reliable, or available. GPS signals and location data may be affected by various factors beyond RunAdic's control, including but not limited to: signal interference or loss of satellite connectivity; device limitations or sensor inaccuracies; environmental conditions such as buildings, terrain, or weather; interruptions in third-party mapping or location services. As a result, information displayed through the Services, including running routes, distances, pace calculations, location tracking, or mapping data, may be inaccurate, incomplete, or delayed. Users should not rely solely on Location Services for navigation, safety decisions, or determining precise distances or locations. To the fullest extent permitted by applicable law, RunAdic shall not be responsible or liable for any injuries, damages, losses, or other claims arising from inaccuracies or interruptions in GPS tracking, location services, mapping data, or related technologies used by the Services. Users are responsible for exercising appropriate judgment when using location-based features and for ensuring their own safety during any activities associated with the Services.
12.2 Service Availability Disclaimer and No Guarantee of Continuous Operation
RunAdic strives to provide reliable access to the Services; however, the availability and functionality of the platform may be interrupted or limited from time to time. The Services, including the RunAdic mobile application, SpeedyLaps performance tracking tools, the DYRT artificial intelligence assistant, and any related features, may experience interruptions, delays, errors, or outages due to maintenance, system updates, technical issues, network failures, third-party service disruptions, or other circumstances beyond RunAdic's control. RunAdic does not guarantee that the Services will be available at all times, that access will be uninterrupted, or that the platform will be free from technical errors or defects. RunAdic may suspend, restrict, or discontinue any portion of the Services at any time for maintenance, security, operational, or business reasons. To the fullest extent permitted by applicable law, RunAdic shall not be responsible or liable for any loss, damage, or inconvenience resulting from the temporary or permanent unavailability of the Services or any portion thereof. Users are responsible for maintaining their own records of training activities or other information they consider important, as RunAdic does not guarantee the permanent storage or availability of any user-generated content or data. Certain features of the Services may be experimental or in development and may change, malfunction, or be discontinued at any time. Data Storage, Loss, and Backup Disclaimer: The Services, including the SpeedyLaps training and performance tracking features, may allow users to record and store running activities, lap times, training metrics, and other performance data. While RunAdic strives to maintain reliable systems for storing and displaying user data, the platform does not guarantee the permanent availability, accuracy, or preservation of any user-generated content or training data. Data stored through the Services may be affected by system updates, technical issues, software errors, third-party service disruptions, or other circumstances beyond RunAdic's control. As a result, certain data, including historical performance records or training statistics, may be modified, delayed, or lost. Users are responsible for maintaining their own copies of any training records or other information that they consider important. To the fullest extent permitted by applicable law, RunAdic shall not be responsible or liable for the loss, deletion, corruption, or failure to store any user-generated content, training records, or other information associated with the Services.
12.3 Third-Party Technology Disclaimer
The Services may rely on, integrate with, or provide access to third-party technologies, platforms, tools, software, data sources, and services, including but not limited to GPS systems, mapping services, payment processors, wearable device integrations, mobile operating systems, cloud hosting providers, and communication networks (“Third-Party Technology”). You acknowledge and agree that: Third-Party Technology is not owned, operated, or controlled by RunAdic; the availability, performance, accuracy, and reliability of such Third-Party Technology are outside of RunAdic's control; Third-Party Technology may experience interruptions, delays, errors, or outages; data transmitted through or obtained from Third-Party Technology may be incomplete, delayed, or inaccurate; Third-Party Technology providers may change, suspend, or discontinue their services at any time without notice. RunAdic does not guarantee the compatibility, interoperability, or continued functionality of the Services with any Third-Party Technology. Certain features of the Services may be unavailable, degraded, or limited due to issues with Third-Party Technology. To the fullest extent permitted by law, RunAdic disclaims all responsibility and liability for: any failure, delay, or interruption in the Services caused by Third-Party Technology; any loss, corruption, or inaccuracy of data arising from Third-Party Technology; any damages, injuries, or losses resulting from your reliance on Third-Party Technology; the acts or omissions of any third-party provider. Your use of Third-Party Technology may be subject to separate terms, conditions, and privacy policies imposed by the applicable third-party providers. You are solely responsible for reviewing and complying with those terms. By using the Services, you agree that RunAdic shall not be liable for any issues, damages, or losses arising from or related to Third-Party Technology or your interaction with any third-party provider.
The Services may allow users to communicate with or interact with other individuals, including runners, coaches, or members of the RunAdic community. RunAdic is not a party to, and does not control or supervise, any agreements, interactions, or disputes that may arise between users of the Services. Any interactions, communications, or arrangements made between users occur solely between those individuals. If a dispute arises between users, the parties involved agree to resolve the dispute directly with one another. RunAdic has no obligation to intervene in or resolve disputes between users, although RunAdic may, in its sole discretion, take actions it deems appropriate to maintain the safety and integrity of the platform, including suspending or terminating user accounts. To the fullest extent permitted by applicable law, you release RunAdic, its owners, officers, employees, and affiliates from any claims, demands, damages, or losses arising out of or related to disputes or interactions with other users of the Services. RunAdic reserves the right, but has no obligation, to monitor user interactions.
To the fullest extent permitted by applicable law, RunAdic, its parent company, affiliates, subsidiaries, officers, directors, employees, contractors, agents, licensors, and service providers (collectively, the “RunAdic Parties”) shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to loss of profits, loss of data, loss of business opportunities, loss of goodwill, personal injury, or death, arising out of or related to: your use of or inability to use the Services; any content, data, or information obtained through the Services; any interactions between users, including but not limited to Run Clubs, Rabbit pacing services, coaching interactions, or community features; any physical activity, training, or events conducted through or in connection with the Services; reliance on AI-generated outputs, training recommendations, or performance analytics; any inaccuracies or failures in GPS, mapping, tracking, or performance metrics; any Third-Party Technology, integrations, or external services; unauthorized access to or use of your account or data; any conduct, acts, or omissions of any user, coach, Rabbit, organizer, or third party. In no event shall the RunAdic Parties be liable for any damages exceeding the greater of: (i) the total amount paid by you to RunAdic, if any, in the twelve (12) months preceding the event giving rise to the claim; or (ii) one hundred U.S. dollars (USD $100), if you have not made any payments to RunAdic. You acknowledge and agree that: the Services are provided on an “AS IS” and “AS AVAILABLE” basis; RunAdic makes no guarantees regarding safety, outcomes, performance, or results; you assume full responsibility for your participation in any physical or athletic activities; RunAdic does not control or supervise user interactions, third-party services, or real-world activities. To the fullest extent permitted by law, RunAdic disclaims all liability for: injuries, accidents, or incidents occurring during runs, training sessions, or events; disputes between users, including but not limited to Rabbit services, Run Clubs, or coaching interactions; errors, inaccuracies, or omissions in data, analytics, or AI-generated outputs; interruptions, delays, or failures of the Services. Nothing in these Terms shall exclude or limit liability to the extent such liability cannot be excluded or limited under applicable law, including liability for gross negligence, willful misconduct, or fraud where required by law. If you are a resident of a jurisdiction that does not allow the exclusion or limitation of certain damages, some of the above limitations may not apply to you, and in such cases, RunAdic's liability shall be limited to the maximum extent permitted by law. By using the Services, you acknowledge that the limitations of liability set forth in this section are a fundamental basis of the agreement between you and RunAdic, and that the Services would not be provided without such limitations.
You agree to defend, indemnify, and hold harmless RunAdic, its parent company, affiliates, subsidiaries, officers, directors, employees, contractors, agents, licensors, and service providers (collectively, the “RunAdic Parties”) from and against any and all claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and legal costs) arising out of or related to: your use of or access to the Services; your participation in any physical activity, training session, run, event, or athletic program connected to the Services; your interaction with other users, including but not limited to Run Clubs, Rabbit pacing services, coaching interactions, or community features; any content you create, upload, post, transmit, or otherwise make available through the Services; your violation of these Terms or any applicable law, rule, or regulation; your misuse of AI-generated outputs, training data, or performance analytics; any injury, damage, or loss caused by your actions or omissions; your breach of any representations, warranties, or obligations under these Terms. If you are a Run Club organizer, Rabbit (pacer), coach, or any user facilitating activities, events, or services through the platform, you further agree to indemnify and hold harmless the RunAdic Parties from and against any claims arising out of or related to: the organization, promotion, or operation of any run, event, training session, or activity; any injury, accident, or incident involving participants; your failure to comply with applicable laws, permits, safety requirements, or regulations; any representations or promises you make to other users. RunAdic reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate fully with RunAdic in the defense of such claim. You agree not to settle any claim that imposes any obligation or liability on any of the RunAdic Parties without RunAdic's prior written consent. This indemnification obligation shall survive the termination or expiration of your account and your use of the Services.
16.1 Informal Resolution Requirement
Before initiating any legal proceeding, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Services (a “Dispute”) by contacting RunAdic and providing a written notice describing the nature of the Dispute, the relevant facts, and the requested relief. The parties agree to engage in good faith efforts to resolve the Dispute informally for a period of at least thirty (30) days from receipt of such notice before initiating arbitration or any other proceeding.
16.2 Agreement to Binding Arbitration
Except as otherwise expressly provided herein, any Dispute that cannot be resolved informally shall be resolved exclusively through final and binding arbitration, rather than in court. You and RunAdic agree that: arbitration shall be administered by the American Arbitration Association (AAA) under its applicable Consumer Arbitration Rules (or Commercial Rules, as applicable); arbitration shall be conducted by a single arbitrator; arbitration may take place remotely, by telephone, or via written submissions, at the arbitrator's discretion; the arbitrator shall have exclusive authority to resolve any Dispute, including issues relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement. Judgment on any arbitration award may be entered in any court of competent jurisdiction.
16.3 Scope of Arbitration
This arbitration agreement applies to all Disputes, including but not limited to: claims arising out of or relating to your use of the Services; claims related to physical activity, events, or injuries connected to the platform; disputes between users, including Run Clubs, Rabbit services, or coaching interactions; claims involving AI-generated outputs, data, or analytics; claims based in contract, tort, statute, fraud, misrepresentation, or any other legal theory. This clause shall survive termination of your relationship with RunAdic.
16.4 Class Action Waiver
To the fullest extent permitted by law, you and RunAdic agree that any Dispute shall be resolved on an individual basis only and not as part of any class action, collective action, consolidated proceeding, or representative action. You expressly waive any right to: participate in a class action lawsuit or class-wide arbitration; act as a class representative or private attorney general; join or consolidate claims with those of any other person or entity. The arbitrator shall have no authority to conduct any class, collective, or representative proceeding.
16.5 Exceptions to Arbitration
Notwithstanding the foregoing, either party may: bring an individual claim in small claims court, if eligible; seek injunctive or equitable relief in a court of competent jurisdiction for claims involving intellectual property, unauthorized use, or misuse of the Services.
16.6 Arbitration Fees and Procedures
Payment of arbitration fees shall be governed by the applicable AAA rules. To the extent required by law, RunAdic will pay certain arbitration fees. Each party shall bear its own attorneys' fees and costs unless otherwise required by law or awarded by the arbitrator.
16.7 Governing Law
This arbitration agreement shall be governed by the Federal Arbitration Act (FAA) and applicable federal law. To the extent state law applies, it shall be the law of the state specified in the Governing Law section of these Terms.
16.8 Opt-Out Right
You may opt out of this arbitration agreement by providing written notice to RunAdic within thirty (30) days of first accepting these Terms. Your notice must include your name, account information, and a clear statement that you wish to opt out of arbitration. If you opt out, all other provisions of these Terms shall remain in effect.
16.9 Severability
If any portion of this arbitration clause is found to be invalid or unenforceable, the remaining portions shall remain in full force and effect, except that if the Class Action Waiver is found unenforceable, then this entire arbitration section shall be null and void.
These Terms and any disputes arising out of or relating to the Services shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.
18.1 Severability
If any provision of these Terms is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect to the fullest extent permitted by law.
18.2 Waiver
The failure of RunAdic to enforce any right or provision of these Terms will not constitute a waiver of such right or provision. Any waiver of a provision of these Terms will be effective only if it is made in writing and signed by an authorized representative of RunAdic.
18.3 Entire Agreement
These Terms of Use, together with any additional terms, policies, or program rules referenced herein (including, for example, the RunAdic Privacy Policy, SpeedyLaps terms, and No Kidding program policies), constitute the entire agreement between you and RunAdic regarding the Services and supersede any prior or contemporaneous agreements, communications, or understandings relating to the subject matter of these Terms.
18.4 Assignment
RunAdic may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, corporate restructuring, or sale of assets. You may not assign or transfer your rights or obligations under these Terms without the prior written consent of RunAdic.
18.5 Force Majeure
RunAdic will not be liable for any failure or delay in the performance of its obligations under these Terms if such failure or delay results from events beyond its reasonable control, including but not limited to natural disasters, acts of government, labor disputes, internet service disruptions, power outages, cyber incidents, or failures of third-party service providers.
18.6 No Agency Relationship
Nothing in these Terms shall be deemed to create any partnership, joint venture, agency, employment, or fiduciary relationship between RunAdic and any user of the Services.
18.7 Headings
Section headings in these Terms are provided for convenience only and shall not affect the interpretation of any provision of these Terms.
